These Terms and Conditions (“Terms”) form a legally binding agreement between you (“you”, “user”, or “customer”) and Arooba Innovations Inc. (“Arooba”, “we”, “us”, or “our”). They govern your access to and use of the Arooba mobile application, website, and associated services (collectively, the “Platform”). To ensure a fair and enjoyable experience for all users and our partner venues, the following Terms apply to every Arooba account and redemption.

By using the Arooba mobile app and its features, you agree to these Terms in addition to our Privacy Policy and Partner Terms of Service, where applicable.

1. About Arooba

Arooba is a Canadian mobile platform that provides customers with access to exclusive promotional offers, including Buy-One-Get-One-Free (BOGO) deals, time-sensitive incentives, and loyalty rewards at participating restaurants, cafés, entertainment venues, and retailers across Canada.

2. Eligibility and Account Use

  • You must be 13 years or older to create an account. Users under 18 must have the consent of a parent or guardian.
  • You agree to provide accurate and truthful account information and to keep your credentials secure.
  • You may not share or transfer your account. Arooba is intended for personal, non-commercial use.

3. Rules of Use

To ensure fairness and reliability of our service:

  • You may redeem one offer per bill, per table, per group unless otherwise stated.
  • Offers are valid in person only and must be activated and shown to venue staff before billing.
  • BOGO offers entitle you to a second item of equal or lesser value for free.
  • Some offers have redemption limits (e.g., 3 times per venue).
  • Offers cannot be combined with other promotions, events, or discounts unless explicitly allowed.

Users must not:

  • Misuse or attempt to redeem expired or invalid offers.
  • Create multiple accounts to bypass limits.
  • Share screenshots or attempt fraudulent redemptions.
  • Engage in offensive or abusive behavior toward venues or staff.

Violation of these rules may result in the suspension or termination of your account immediately.

4. Types of Offers and Features

Arooba offers include:

  • Buy-One-Get-One-Free (BOGO): Meals, beverages, tickets, and experiences.
  • Loyalty Rewards: e.g., Buy 5 Coffees, Get the 6th Free.
  • Late Night Bites: Offers activated in the final hours of operation to reduce food waste.
  • Trade Marketplace: Allows users to trade unused offers with other subscribed users via the Arooba platform.

Each offer includes clear terms on timing, availability, and usage limits.

5. Partner Relationships

All offers are provided by independent third-party partners. Arooba is not responsible for the quality, safety, or availability of products or services provided by these venues.

Partner terms may include:

  • Exclusion dates (e.g., holidays, special events).
  • Age restrictions for alcoholic or ticketed offers.
  • Redemption methods specific to the venue.

If you have a dispute with a venue, please contact us and we will help resolve it in good faith.

6. Availability and Platform Changes

  • Offers are subject to change or removal at any time.
  • Arooba reserves the right to modify, suspend, or discontinue app features without notice.
  • We are not liable for service interruptions due to technical issues, third-party systems, or maintenance.

7. Intellectual Property

The Arooba name, logo, content, and software are the property of Arooba Innovations Inc. and are protected under Canadian intellectual property laws. You may not copy, alter, or reproduce any part of the Platform without our express written permission.

8. Data Protection and Privacy

Our Privacy Policy outlines how we collect, use, and protect your personal information. We comply with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable Canadian provincial legislation.

Key practices include:

  • No selling of personal data.
  • Use of encrypted transmission.
  • Anonymized usage trends shared with partners (e.g., deal popularity).

9. Cancellation and Refunds

All sales, including app subscriptions or purchases, are final unless required by consumer protection laws.

Users may delete their accounts at any time via the app or by contacting support.

10. Suspension and Termination

We may suspend or terminate your account without notice if:

  • You violate these Terms.
  • You misuse offers or defraud venues.
  • Your behavior undermines the experience for other users or merchants.

11. Limitation of Liability

To the extent permitted by law, Arooba is not liable for:

  • Losses or damages resulting from the use or inability to use the app.
  • Misuse of offers or third-party services.
  • Indirect, incidental, or consequential damages.

Total liability is limited to the amount paid for your Arooba subscription or the value of the affected offer.

12. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Any legal dispute will be resolved in the courts of Ontario.
